FORCE MAJEURE

CALOLYMPIC GLOVE AND SAFETY, INC. will not be liable for its failure to perform under the Agreement (including, without limitation, the failure to deliver any Goods or perform any Services) due to circumstances beyond its control, including, without limitation, fire, flood, earthquake, pestilence or similar catastrophe; war, act of terrorism, or strike; lack or failure of transportation facilities, shortage of suitable parts, materials or labor; any existing or future law, rule, regulation, decree, treaty, proclamation, or order of any governmental agency; inability to secure fuel, materials, supplies, equipment, or power at reasonable prices or in sufficient amounts; act of God or the public enemy; or any other event or cause beyond CALOLYMPIC GLOVE AND SAFETY, INC.'s reasonable control, including, without limitation, any delay caused by Buyer (each, a "Force Majeure Event"). If any Force Majeure Event prevents CALOLYMPIC GLOVE AND SAFETY, INC.'s performance of any of its obligations under the Agreement, CALOLYMPIC GLOVE AND SAFETY, INC. will have the right to (a) change, terminate, or cancel the Agreement, or (b) omit during the period of the Force Majeure Event all or any portion of the quantity of the Goods deliverable during that period, whereupon the total quantity deliverable under the Agreement will be reduced by the quantity omitted. If CALOLYMPIC GLOVE AND SAFETY, INC. is unable to supply the total demands for any Goods to be delivered under the Agreement due to a Force Majeure Event, CALOLYMPIC GLOVE AND SAFETY, INC. will have the right to allocate its available supply among its customers in whatever manner CALOLYMPIC GLOVE AND SAFETY, INC. deems to be fair and equitable. In no event will CALOLYMPIC GLOVE AND SAFETY, INC. be obligated to purchase materials from other than its regular sources of supply in order to enable it to supply Goods to Buyer under the Agreement. No change, cancellation, or proration by CALOLYMPIC GLOVE AND SAFETY, INC. will be deemed to be a breach of any clause, provision, term, condition, or covenant of the Agreement.

REPAIR TERMS OF SERVICE

Limited Services Warranty

ALL SERVICES WILL (i) BE PERFORMED IN A WORKMANLIKE MANNER; (ii) CONFORM TO THE SPECIFICATIONS (IF ANY) PROVIDED BY THE SERVICE PROVIDER IN A STATEMENT OF WORK; AND (iii) BE WARRANTED FOR A PERIOD OF NINETY (90) DAYS AFTER PERFORMANCE OF SERVICES ("LIMITED WARRANTY PERIOD"). IF SERVICES ARE IMPROPERLY PERFORMED AND CUSTOMER NOTIFIES THE SERVICE PROVIDER OF THE IMPROPERLY PERFORMED SERVICE DURING THE LIMITED WARRANTY PERIOD, THEN THE SERVICE PROVIDER WILL RE-PERFORM THOSE SERVICES, IN WHOLE OR IN PART, AS NECESSARY TO CURE THE PARTICULAR BREACH, OR AT THE SERVICE PROVIDER'S SOLE OPTION, REFUND THE AMOUNT PAID BY CUSTOMER FOR THE SERVICES DIRECTLY ATTRIBUTABLE TO THE PARTICULAR BREACH. THE SERVICE PROVIDER'S RE-PERFORMANCE OR REFUND OF AMOUNTS PAID BY CUSTOMER FOR THE SERVICE DIRECTLY ATTRIBUTABLE TO THE PARTICULAR BREACH SHALL BE CUSTOMER'S SOLE AND EXCLUSIVE REMEDY.

Warranty Disclaimer and Waiver for Services

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION II FOR SERVICES ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, AND THE SERVICE PROVIDER DISCLAIMS, AND CUSTOMER WAIVES, ALL OTHER WARRANTIES FOR SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE AND MERCHANTABILITY. THE WARRANTIES SET FORTH IN THIS SECTION II ARE EXPRESSLY CONDITIONED UPON THE USE OF THE SERVICES FOR THEIR INTENDED PURPOSE AND SHALL NOT APPLY TO SERVICES WHICH HAVE BEEN SUBJECT TO MODIFICATION BY CUSTOMER OR ANY THIRD PARTY.

Limitation of Liability

THE SERVICE PROVIDER EXPRESSLY DISCLAIMS ANY LIABILITY FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES IN THE PERFORMANCE OF SERVICES. THE SERVICE PROVIDER'S LIABILITY IN ALL CIRCUMSTANCES IS LIMITED TO, AND SHALL NOT EXCEED, THE PURCHASE PRICE FOR THE PERFORMANCE OF THE PORTION OF SERVICES THAT GIVES RISE TO ANY PARTICULAR LIABILITY.

SALES TAX

Unless otherwise agreed to in writing by Seller, all prices quoted are exclusive of transportation and insurance costs, duties, and all taxes including federal, state and local sales, excise and value added, goods and services taxes, and any other taxes. Buyer agrees to indemnify and hold Seller harmless for any liability for tax in connection with the sale, as well as the collection or withholding thereof, including penalties and interest thereon. When applicable, transportation and taxes shall appear as separate items on Seller's invoice.

In the United States, all applicable state, county, and local sales tax will be added to your order.

We reserve the right to add sales tax where required.

In Canada, applicable GST/HST rates will apply on the sale of goods and services.

For international orders, there may also be duties and taxes imposed on your order that are not included in the prices displayed as they appear during the checkout process. You may check with your local Customs Office for those charges.

Product taxability and customer exemptions are dependent on individual state statutory guidelines and requirements. If you are tax exempt, please submit your tax exemption certificate with your order.

RETURNED GOODS

Items must be returned within 30 days of receipt. Should you need to return any stock product, please contact customer service for a Returned Goods Authorization (RGA) Number. We are not responsible for return freight. Special order items, videos, and custom imprinted products are non-cancelable and non-returnable. Shipping charges are at the expense of the customer, otherwise arranged in advance. All merchandise must be carefully packed and will be subject to charges if not in sale-able condition.

DAMAGE / SHORTAGE CLAIMS

CALOLYMPIC GLOVE AND SAFETY, INC. makes every effort to ensure that your shipment arrives on time and in good condition. We take great care in filling, checking and packing your order. Our partner carriers work hard to maintain lowest claim ratios. However, on rare occasions, shipping damage or shortage does occur.

CALOLYMPIC GLOVE AND SAFETY, INC. is not liable for any shortage or damaged discovered after signing "complete" on the delivery receipt. Please note once the delivery receipt is signed complete, no credits will be issued or payment deductions allowed for freight claims & quantity of damaged or shortages discovered after the shipping company has left your warehouse.

If any shortages or damages are discovered upon delivery, make a notation for damage and/or shortage on the Bill of Lading with a representative from the carrier present before accepting the order. Have the driver sign all copies to acknowledge the notation.

Claims can be made only when it is indicated on the Bill of Lading at the time of the delivery. The claim must then be reported by phone, fax, or e-mail immediately to the CALOLYMPIC GLOVE AND SAFETY, INC. sales representative that handles your account.

CALOLYMPIC GLOVE AND SAFETY, INC. must be informed within 24 hours of receiving your shipment. Lost or damaged shipments must be reported within one week of expected arrival. The Carriers require us to file your claim within 15 days of delivery. If a claim is made at a later date, CALOLYMPIC GLOVE AND SAFETY, INC. will not be held responsible. Any shortage will be subject to investigation. If we find the claim is justified, we will either issue a credit or replace the merchandise. When shortage and/or damage is due to the freight carrier, a claim must be filed with the carrier immediately.

CUSTOM IMPRINTING

Acceptable Digital Artwork Files

CorelDRAW®, Adobe Photoshop®, Adobe Streamline®, Adobe Illustrator®, Adobe PageMaker®, QuarkXPress™, or FlexiSIGN. Calolympic Safety DOES NOT ACCEPT Microsoft® Publisher, PowerPoint® or Word. These formats can only be used for quotation purposes. We cannot download images from websites for production purposes.

Artwork Proofs

You may request that an artwork proof be sent to you via e-mail or fax before production begins. On large or complex orders, we may require your signed approval prior to production. Artwork, type, plates, negatives, positives, films, dies, tapes, disks or other items supplied or designed by Calolympic Safety shall remain the property of Calolympic Safety.

Trademarks and Logos

Customer represents that it has the right to use all logos, trademarks, service marks, trade names, and all other related artwork to be printed. In consideration of the acceptance of this order, customer warrants that the finished article is not and will not be an infringement of any valid trademark, service mark, copyright, patent, or similar right. Customer agrees, at its own expense, to fully indemnify, hold harmless and defend us, our agents, employees, officers, and successors from and against any and all liability, losses, demands, suits, actions, causes of action and costs, including attorney fees, courts costs, and other expenses, arising from or in connection with any claim or legal action brought against us charging such infringement. We reserve the right to refuse to print anything deemed, in our discretion, which may contain improper or infringing artwork. We may cease production of the order upon receipt of a claim charging such infringement and shall have no liability to customer as a result of such action. We reserve the right to use product images and samples in promotional applications.

SHIPPING POLICIES

How We Ship

We ship primarily through UPS, FedEx and various trucking companies. Please call us if you need your shipment sent a different way or a quicker way.

We ship F.O.B. origin, best way unless otherwise requested.

Handling charges are added to your order.

Items temporarily back ordered are shipped immediately upon arrival in our warehouse.

CALOLYMPIC GLOVE AND SAFETY, INC. makes every effort to ensure that your shipment arrives on time and in good condition. However, on rare occasions, shipping damage or shortage does occur and when a claim arises, we work with our customers to satisfy all parties. Please note the following guidelines listed below to aid in the prevention of damages or shortage of your shipments.

Receiving Instructions

Please inspect this shipment immediately upon receipt. Our partner carriers require their drivers to wait for a reasonable amount of time until customers have accounted for the shipment and the delivery receipt is signed showing number of cases received.

Please sign for piece count as well as pallets.

The freight carrier has acknowledged the receipt of this shipment from our facilities in GOOD CONDITION. By your acceptance of the shipment from the carrier on the Bill of Lading, you acknowledge that the product has been delivered in GOOD CONDITION. CALOLYMPIC GLOVE AND SAFETY, INC .is not liable for any shortage or damaged discovered after signing "complete" on the delivery receipt. Please note once the delivery receipt is signed complete, no credits will be issued or payment deductions allowed for freight claims & quantity of damaged or shortages discovered after the shipping company has left your warehouse.

OVERSIZE / HEAVY PRODUCTS

Oversized or heavy items are shipped collect, via carrier of Calolympic Safety's choice.

Please note that for oversize shipments we may add on a surcharge per item depending on the destination. We also reserve the right to change the ship method appropriate to the size of the order to facilitate timely delivery. Please contact us at (800) 421-6630 if you have any questions.

Items which do not meet UPS/USPS/FedEx weight and dimension standards are noted as such and shipped via an alternate means. You pay actual freight charges. When placing an Internet order, you may request when you check out that you be contacted with confirmation of shipping charges before your order is shipped.

Material Safety Data Sheets

Material Safety Data Sheets ("MSDS") for OSHA defined hazardous substances are prepared and supplied by the manufacturers. CALOLYMPIC GLOVE AND SAFETY, INC. MAKES NO WARRANTIES AND EXPRESSLY DISCLAIMS ALL LIABILITY TO ANY CUSTOMER OR USER WITH RESPECT TO THE ACCURACY OF THE INFORMATION OR THE SUITABILITY OF THE RECOMMENDATIONS IN ANY MSDS. CUSTOMER IS SOLELY RESPONSIBLE FOR ANY RELIANCE ON OR USE OF ANY INFORMATION, AND FOR USE OR APPLICATION OF ANY PRODUCT.

EXPORT CONTROLS

Certain Goods may be subject to export controls under the laws, regulations and/ or directives of the United States and various other countries. Buyer must comply with such laws and regulations and not export, re-export, or transfer these Goods to any country to which such export, re-export, or transfer is forbidden or without first obtaining all required authorizations or licenses.

Due to government regulations and product availability, not all goods sold by CALOLYMPIC GLOVE AND SAFETY, INC. may be available in every area.  Calolympic Safety reserves the right to refuse service and/or shipment on any order.

Buyer hereby warrants and represents that it will comply with any and all Laws with respect to the purchase, use, and operation of any and all Goods and Services. For purposes hereof, "Laws" means any international, multinational, national, foreign, federal, state, municipal, local (or other political subdivision) or administrative laws, constitutions, statutes, codes, ordinances, rules, regulations, requirements, standards, policies or guides having the force of law, treaties, judgments, or orders of any kind or nature whatsoever, including, without limitation, any judgment or principle of common law.

WARRANTY INFORMATION

LIMITED WARRANTY

CALOLYMPIC GLOVE AND SAFETY, INC. warrants, for a period of one (1) year after delivery that all Products delivered to Purchaser hereunder shall be free from any defects in material or workmanship and in conformity with any applicable specifications. Such warranty only extends to Purchaser. Purchaser shall inspect Products within a reasonable time after receipt, and shall promptly notify CALOLYMPIC GLOVE AND SAFETY, INC. of any claimed defect or nonconformity. Any Products determined to be defective in material or workmanship must be returned, with an invoice and/or control number to a CALOLYMPIC GLOVE AND SAFETY, INC. branch or authorized location, shipping costs to be prepaid by Purchaser, within the one-year warranty period. Correction shall be made or replacement products shall be delivered by CALOLYMPIC GLOVE AND SAFETY, INC., unless prevented by conditions not subject to CALOLYMPIC GLOVE AND SAFETY, INC.'s control. This warranty shall not be applicable in the event of the misapplication or misuse of the Product by Purchaser. CALOLYMPIC GLOVE AND SAFETY, INC. makes no warranties to those defined as consumers in the Magnuson-Moss Warranty-Federal Trade Commission Improvement Act. THE FOREGOING WARRANTIES ARE IN PLACE OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED AND CALOLYMPIC GLOVE AND SAFETY, INC. COMPANY EXPRESSLY DISCLAIMS ANY OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

DISCLAIMER

NO WARRANTY, EXPRESS OR IMPLIED, IS MADE BY CALOLYMPIC GLOVE AND SAFETY, INC., OTHER THAN WHAT IS PROVIDED IN THE ABOVE WARRANTY SECTION. CALOLYMPIC GLOVE AND SAFETY, INC. DISCLAIMS ANY LIABILITY FOR PRODUCT DEFECT CLAIMS THAT ARE DUE TO THE MISUSE, IMPROPER SELECTION OR MISAPPLICATION OF THE PRODUCT.

LIMITATION OF LIABILITY

IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES IN CONNECTION WITH OR ARISING OUT OF THIS AGREEMENT, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR INJURIES TO PERSONS OR TO PROPERTY OR LOSS OF PROFITS OR LOSS OF FUTURE BUSINESS OR REPUTATION, WHETHER BASED ON TORT OR BREACH OF CONTRACT OR OTHER BASIS, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL CALOLYMPIC GLOVE AND SAFETY, INC.'S DIRECT DAMAGES EXCEED THE PURCHASE PRICE OF THE PRODUCT.

LOCAL SAFETY STANDARDS AND REGULATIONS

Products sold by CALOLYMPIC GLOVE AND SAFETY, INC. are designed to meet stated U.S. Safety Standard and Regulations. Because local safety standards and regulations vary significantly, CALOLYMPIC GLOVE AND SAFETY, INC. cannot guarantee that our products meet all applicable requirements in each locality. The purchaser assumes responsibility for compliance with such safety standards and regulations in those localities in which the products will be shipped, sold and used. Before purchase and use of any Goods, Buyer should review the product application, and national and local codes and regulations, and verify that the use and installation of the Goods will comply with them. Under no circumstances will CALOLYMPIC GLOVE AND SAFETY, INC. be liable for any loss damage, expense, or consequential damages of any kind arising from the use, misuse, or inability to use these safety products.

REGULATORY INFORMATION PROVIDED
